Reseller Agreement

This page covers the essentials for users who hold the reseller role on our platform. It supplements the Terms of Service.

1. What Resellers Do

Resellers buy Credits from Phoenix Service Tool in bulk and resell access to end users (their own customers). Reseller status is granted at our discretion — to apply, contact [email protected].

2. Pricing

Resellers receive a per-Credit discount compared to retail. Specific tier and pricing are communicated when your reseller account is activated. Tiers are subject to review.

3. Bulk Credits Are Non-Refundable

Bulk Credit purchases are prepaid and non-refundable except where required by law. Credits remain in your account indefinitely under normal use.

4. Downstream Users Are Your Responsibility

You are responsible for the actions of users you sell Credits to. If your downstream users repeatedly violate our Acceptable Use Policy — particularly the rules around stolen Devices — your reseller account may be suspended.

You should communicate to your downstream users the basic rules: legal ownership / authorization, warranty void, data loss, no stolen Devices, at-own-risk operation.

5. Refunds to Your Customers

You may issue refunds to your downstream users at your own discretion through the reseller dashboard. Abusive refund patterns may result in the refund privilege being revoked.

6. Branding

You may use your own brand on your own customer-facing channels. You may not claim to be an official Phoenix Service Tool subsidiary or partner unless that relationship is explicitly documented in writing. You may not use our logos or trademarks without prior written authorization.

7. Termination

We may terminate your reseller status for material breach of this agreement or the underlying Terms of Service, repeated AUP violations by your downstream users, or evidence of fraud. Unused Credits on termination (where termination wasn't for cause) are returned within 30 days.
